Partnership Agreement for Meta Data Centre Community Action Grants Programme

This Partnership Agreement ("Agreement") is made between ChangeX International (“ChangeX”) and

("Partner"), each a “Party” and together the “Parties”. It outlines the Parties shared understanding and responsibilities for the grant provided by ChangeX to support the Partner’s project. 

This agreement becomes effective on the date it is signed by both Parties and will remain in force until one year after the project end date or until all grant funds have been spent and impact reporting received by ChangeX, whichever is longer. 

Purpose of the Agreement

The purpose of this agreement is to ensure that the grant is used to support The Partner’s project in a way that aligns with the Parties' shared goals and values. 

Use of the Grant Funds

The grant must be used exclusively for the project as described in the Partner’s application, as submitted via the ChangeX platform. 

The grant, any income earned on grant funds, and any capital assets created, developed, or acquired with the grant funds may only be used for charitable purposes.

Changes in the budget are allowed, without approval by ChangeX, provided that no single budget line item is increased or decreased by more than 25%. If circumstances change, and the Partner needs to adjust how any single budget line is used by more than 25%, the Partner must get approval from ChangeX via email in advance.

The Partner is fully responsible for the preparation, implementation, monitoring, and completion of the Project. 

Compliance and Accountability

By accepting this grant, the Partner is responsible for: - compliance with all applicable laws, rules, and regulations, as well as industry standards including those governing the use, accounting, management, and maintaining records of the grants received from ChangeX

- compliance with child safeguarding, human rights protection, and labour protection laws and regulations

- compliance with all applicable anti-bribery, anti-corruption laws, and anti-money laundering laws. The Partner shall not offer, give, solicit, or accept any bribe, gift, or other improper advantage in connection with this Agreement.

- compliance with U.S., EU, UK, and UN sanctions laws and regulations (“Sanctions”). The grant, any income earned on grant funds, and any capital assets created, developed, or acquired with the grant funds may not be used by or for the benefit of any person that (a) is the target of Sanctions; (b) located, organised or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions; or (c) owned or controlled (as such term is defined by the relevant Sanctions) by such person or person(s), and may not be used in any way, directly or indirectly, in violation of Sanctions or applicable export control laws (“Trade Controls”) or that would otherwise cause Meta to violate Trade Controls. - compliance with the ChangeX child protection policy

- compliance with any potential tax consequences, reporting requirements, and consents from third parties which are solely the responsibility and liability of the Partner

- ensuring that funds are not used for the promotion of religious causes, non-charitable activities, sponsorship, or fundraising events.

- ensuring that funds are not used to carry on any propaganda or otherwise attempt to influence legislation or the outcome of any specific public election.

- ensuring that funds are not used to provide tuition, medical expenses, or other economic benefits to a donor, a donor’s advisor, or a member of a donor’s family.

- ensuring that funds are not used for the promotion of or engagement in criminal acts of violence, terrorism, hate crimes, or discrimination on the basis of race, national origin, religion, military and veteran status, disability, sex, age, gender identity or sexual orientation, destruction of any state, or support of any entity that engages in these activities The Partner must take all required and reasonable measures to ensure that anyone involved in the implementation of the Project complies with the regulations listed above.-

Reporting Requirements

In addition to signing this partnership agreement, the Partner is required to complete all requirements as listed on the ChangeX project page. 

Within one month of the end date of the project, the Partner will be required to complete an impact report survey including qualitative and quantitative data. A detailed overview of the questions that will need to be answered and the information that will need to be provided such as photos and actual financial expenditure against the submitted budget will be shared before funding is sent. 

The Partner should only report on expenditures related to ChangeX grant funds, excluding expenditures from other grantors. The Partner must maintain records of receipts and expenditures of the grant funds for a period of six years after the Grant funds have been expended. The Partner will make such records available to ChangeX for inspection, upon request. ChangeX may conduct a site visit to observe the Partner’s project and discuss the project with the Partner’s team.

If, at the time of completion of the Project, all Grant Funds are not spent down, the Parties may discuss and agree on how to spend the remaining Grant Funds. If it is not possible to come to an agreement on how to spend the remaining Grant Funds, or if the funds are found to have been spent on items outside the submitted budget, ChangeX has the right to request that the Partner returns any unspent Grant Funds.

In the case that the Partner organisation is dissolved, or if the Partner organisation is otherwise unable to use the Grant solely and directly for the Grant Purpose and related activities, you agree to promptly inform ChangeX of any changes and have a plan for funds approved in writing prior to any changes to fund use, or agree to return any unexpended Grant funds to ChangeX.

Recognition and Branding

In all communications regarding the project funded through this Agreement, the Partner should acknowledge that the project was supported by Meta.

ChangeX and Meta may use the Partner organisation’s name, location, and images posted on the ChangeX project page for any reasonable and related promotional purposes. The Partner further agrees to participate in any reasonable publicity required by ChangeX and Meta. The application, impact reports, and any accompanying materials submitted to ChangeX such as descriptions of the project and updates posted to the ChangeX project page will become the property of ChangeX on receipt, and can be used for reasonable and related promotional purposes by ChangeX and Meta. This includes newsletters, social media, blog posts, and other promotional materials.

Data Privacy and Media Sharing Requirements

Any handling of personal data under this Agreement must follow all applicable laws, including the EU’s GDPR.

Any images or videos shared on the ChangeX platform must meet these criteria:

- Parental/guardian consent must be secured for any images or videos featuring children, and any images uploaded to the ChangeX platform. Individual children should not be identified by name on the ChangeX website.
- Permission has been granted by all people featured in an image or video to share their image or feature them in the video for the specific purpose.
- The Partner owns the image/video OR has secured the photographer’s permission/videographer's permission to share it with ChangeX and its partners for their use.
- The Partner has the rights/appropriate permissions for any music used in the video and for letting its partners use the same.
- In the event that ChangeX needs to verify any of the above, the Partner will be able to provide evidence that the necessary permissions are in place.

All photos and videos shared on the ChangeX platform or with ChangeX meet the criteria above and can be used freely by ChangeX and Meta.

Termination

We hope to see this project succeed. However, this agreement may end if the Partner breaches any of its obligations under this Agreement such as the grant not being used for the agreed purpose,  or required reports not being provided, or violations of applicable laws, including anti-corruption laws . If this occurs, ChangeX has the right to request the Partner to take necessary steps to remedy the breach within 10 business days. If the breach has not been sufficiently remedied, ChangeX may terminate the Agreement via email with immediate effect and the Partner must return any unspent Grant Funds. For the avoidance of doubt, ChangeX may immediately terminate the agreement should Partner become the target of Sanctions or Partner breach Trade Controls.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ireland. Any dispute arising under this Agreement (whether such disputes or issues are contractual or non-contractual in nature, such as claims in tort, for breach of statute or regulation or otherwise) shall be subject to the exclusive jurisdiction of the courts of the Republic of Ireland.

This document represents our full understanding and agreement. Changes must be made in writing and agreed upon by both sides.

By signing, you confirm that you are an authorised representative of the Partner and agree to the terms outlined above. This Agreement is executed by way of electronic signature by the Parties' authorised representatives.
